Terms and conditions of sale

The present General Terms and Conditions of Sale (hereinafter ” GTC Jonquères d’Oriola Vignobles par actions simplifiée Jonquères d’Oriola Vignobles registered in the Perpignan Trade and Companies Register under number 800 141 723 with a share capital of 1,000 euros and its registered office at 3 rue du Château- 66200 Corneilla del Vercol (hereinafter referred to as “Jonquères d’Oriola Vignobles”). Jonquères d’Oriola Vineyards “) on the one hand, and any natural person aged 18 and over, or any legal entity acting for purposes that do not fall within the scope of its commercial, industrial, artisanal or liberal activity (hereinafter the ” Customer “) on the other.

It is reminded that in application of article L 3342-1 of the French Public Health Code, the sale of alcoholic beverages to minors is prohibited. As a result, only Customers over the age of 18 may order Products from the Website. By accepting the present General Terms and Conditions of Sale, the Customer acknowledges that he/she is over 18 years of age and has the legal capacity to enter into the present contract with Jonquères d’Oriola Vignobles.

Alcohol abuse is dangerous to health and should be consumed in moderation.

Article 1 – Purpose

The purpose of these General Terms and Conditions of Sale is to govern the terms and conditions under which a Customer purchases a product on the https://www.jonqueresdoriola.fr/ website (hereinafter the ” Website “).

Article 2 – Definitions

 Order: refers to each purchase of one or more Products by a Customer on the Web Site under the conditions set forth in these General Terms and Conditions of Sale.

 Product or Products: refers to wines, spirits, as well as all food products (oil…),

vinegar) sold on the Website.

 Internet site: refers to all documents or pages connected by hypertext links, registered under the URL address www.jonqueresdoriola.fr , published by the simplified joint stock company Jonquères d’Oriola Vignobles. The publication director is William Jonquères d’Oriola.

 Customer Service: refers to all persons in charge of handling all customer requests (questions, complaints, returns, etc.), before, during and after orders placed on the www.jonqueresdoriola.fr website.

Article 3 – Acceptance of the General Sales Conditions

By ticking the box ” I acknowledge having read the General Terms and Conditions of Sale “, before validating the Order, the Customer accepts without restriction or reservation the content of these General Terms and Conditions of Sale, to the exclusion of any other document that may be issued by Jonquères d’Oriola Vignobles.

Article 4 – Prices

The price of Products or Services is displayed in Euros on the Website, inclusive of all taxes. Shipping costs for the Customer’s Order are not included in the price displayed and will be indicated to the Customer, inclusive of all taxes, before the final validation of the Order.

Jonquères d’Oriola Vignobles reserves the right to modify its prices at any time, but undertakes to apply the prices in force at the time of validation of the Order by the Customer.

Article 5 – Presentation of Products on the Website

The Products sold on the Site are represented photographically. Jonquères d’Oriola Vignobles will make every effort to ensure that this representation is as accurate as possible.

Jonquères d’Oriola Vignobles draws the Customer’s attention to the possibility that the Customer’s perception of the Product may not correspond exactly to the Product itself, without Jonquères d’Oriola Vignobles being held liable in any way whatsoever.

Article 6 – Product availability

Product offers are valid as long as they are visible on the Website, subject to stock availability
. Information concerning the availability of Products appears in real time on the Site. This
information is given as an indication only and may be subject to error, corrected during inventories.
In the event of unavailability of the Product ordered, and in accordance with the provisions of articles L 216 2 and L 216 3
of the French Consumer Code, the Customer has the right to be reimbursed for the price of the Product ordered within
the 14 days following his request by making his request directly to Jonquères d’Oriola Vignobles
at the following e-mail address shop@jonqueresdoriola.fr, specifying the number and date of the Order
concerned.

Article 7 – How to place an Order

All Orders are placed on the Web Site.

To place an Order for Products, the Customer first selects the Products and the chosen quantity, and inserts them in his/her “Shopping Cart”. After checking the contents of the Order in his/her “Shopping Cart”, the Customer will confirm his/her Order by entering his/her contact details, having first read and accepted without reservation the present General Terms and Conditions of Sale in their entirety. It is specified that no

Jonquères d’Oriola Vignobles will not validate or take into account an order if one of the “mandatory information” fields on the order form has not been completed by the Customer.

The Customer undertakes to complete in good faith all mandatory fields on the registration forms, in particular his :

– Name

– First name(s)

– Full address

– Date of birth

E-mail address

– Cell phone

– Password

At the time of registration, the Customer certifies :

– For individuals

– Be of legal age

– To freely dispose of one’s consent.

– For representatives of legal entities

– Be legally empowered to bind the legal entity

– Not be the subject of receivership or liquidation proceedings.

After confirming the content of the Order, the Customer will validate it by payment. The Customer acknowledges and accepts that this final validation of the Order and the associated “double-click” constitute irrevocable acceptance of the Order and of the resulting payment obligation towards Jonquères d’Oriola Vignobles, subject to the limitations set out in these General Terms and Conditions of Sale.

In accordance with Article L 223-2 of the French Consumer Code, it is hereby specified that if the Customer does not wish to be contacted by telephone on the number communicated, which is necessary to ensure delivery of the Products by the carrier selected by Jonquères d’Oriola Vignobles, he/she may register on the opposition list for telephone canvassing via the Internet at www.bloctel.gouv.fr.

Article 8 – Payment

8.1 Terms of payment

All Orders are payable in Euros. All payments are made by credit card on the Website.

For all Orders placed for Products on the Website, Customers will benefit from a secure payment system subscribed by Jonquères d’Oriola Vignobles with a service provider of its choice. The Order will thus be registered and definitively validated as soon as the bank accepts the payment. If the transaction is not validated by the bank, for any technical or banking reason, the Order is automatically cancelled, and Jonquères d’Oriola Vignobles will immediately inform the Customer. No customer credit card data is stored on the website.

8.2 Default of payment

In accordance with articles 2367 et seq. of the French Civil Code, the Products are sold under reservation of title. In the event of total or partial non-payment of the Order on the due date, Jonquères d’Oriola Vignobles may reclaim the Products and cancel the sale at the Customer’s expense and risk.

Article 9 – Delivery

9.1 Terms of delivery

Products are delivered exclusively in mainland France, excluding French overseas departments and territories. Orders for Products to be delivered outside mainland France will not be accepted.

Products are delivered to the delivery address in Metropolitan France indicated by the Customer during the Order process. All deliveries are made by a carrier selected by Jonquères d’Oriola Vignobles. In this case, the Customer is informed that the carrier will contact him/her to arrange an appointment for delivery. In the event of the Customer’s absence at the time of delivery, a new delivery will be scheduled with the carrier, and may be charged to the Customer according to the terms communicated by the carrier, which the Customer acknowledges and accepts.

If all or part of the information required to deliver the Products to the Customer proves to be incorrect, and obliges the carrier selected by Jonquères d’Oriola Vignobles to return the Products, it will be the Customer’s responsibility to bear the costs and consequences.

9.2 Delivery times

Jonquères d’Oriola Vignobles makes every effort to respect the delivery times indicated to the Customer when the Order is validated. All delivery times are calculated in working days and run from the date of final validation of the Order by Jonquères d’Oriola Vignobles. In any event, if no delivery time is specified at the time of the Order, Jonquères d’Oriola Vignobles undertakes to deliver the Order no later than 30 (thirty) days from the final validation of the Order.

Delivery times include the time required to process, prepare and dispatch the Customer’s Order, to which must be added the delivery time of the carrier, a third-party service provider. The Customer will be informed by e-mail as soon as the Order has been dispatched. Please note that delivery times may vary according to the place of delivery of the Order, the quantity of Products ordered and their availability.

As delivery is carried out by a third-party service provider, delays may occur in relation to the times indicated to the Customer when the Order is validated. In this case, the Customer may inform Jonquères d’Oriola, who will take all necessary steps to remedy the situation.

9.3 Transfer of risk and ownership

Jonquères d’Oriola Vignobles draws the Customer’s attention to the fact that the Products ordered travel at the risk of Jonquères d’Oriola Vignobles. The risks relating to the Products are transferred to the Customer, on the day of delivery, which is acknowledged by the Customer to be compliant and complete.

The Products ordered remain the property of Jonquères d’Oriola Vignobles until full payment has been received from the Customer. In the event of non-payment by the Customer, Jonquères d’Oriola Vignobles reserves the right to reclaim the Products.

9.4 Inspection of Products on delivery

Upon receipt of the Order, and before signing the delivery or transport note, the Customer must check the Order for conformity and quantity of the Product(s) ordered.

In the event that, upon delivery by the carrier, the Customer finds that the original packaging is damaged, torn or open, he/she must carefully check the Products delivered. If it turns out that

the Products have been damaged, the Customer must refuse delivery of the package and note a reservation on the delivery slip. These reservations must be made in writing to the carrier at the time of delivery, or no later than 72 hours after delivery.

Likewise, it is specified that all Orders are packaged and sealed with scotch tape, which acts as a warranty certificate. If the Customer finds that this tape has come unstuck, he/she must refuse the Order with the carrier.

In the event of reservations or refusal of an Order by the Customer at the time of delivery, it is the Customer’s responsibility to inform Jonquères d’Oriola Vignobles by e-mail at the following address: shop@jonqueresdoriola.fr . The Customer must take care to specify the information relating to his Order, the batch number printed on the glass under the bottle, and any necessary reservations, in a detailed, legible and as precise a manner as possible. In this case, the Customer must request a return from Jonquères d’Oriola Vignobles under the conditions defined in article 12.3 of these General Terms and Conditions of Sale.

After receipt of the package and verification of its condition, Jonquères d’Oriola Vignobles will contact the Customer to agree on the action to be taken in accordance with the provisions of article 12 of these General Terms and Conditions of Sale. If it is proven that the reservations are due to the fact that the package and the Products are badly damaged, Jonquères d’Oriola Vignobles will refund the Customer the price of the Products or will make a new delivery of identical or similar Products, within the limits of available stocks. If the delivery does not conform quantitatively to the Order, Jonquères d’Oriola Vignobles will only refund the difference in price between the Products ordered and those delivered, and only if the Products delivered are of a lower price than those ordered and paid for.

No reservation can be made in relation to the taste, appearance or freshness of the Products.

Jonquères d’Oriola Vignobles will bear the cost of returning the defective Product, as well as the possible delivery of another Product.

Article 10 – Right of withdrawal

10.1 Scope of application

For Products sold on the Website, the Customer has the right to withdraw and return the Product(s) within fourteen (14) clear days of delivery of the Products in accordance with the provisions of article L 221-18 et seq. of the French Consumer Code.

In order to exercise the right of withdrawal, the customer must notify Jonquères d’Oriola Vignobles of his wish to withdraw in the manner set out in article 10.2 of these General Terms and Conditions of Sale.

10.2 How to exercise the right of withdrawal

To exercise his/her right of withdrawal, the Customer must notify Jonquères d’Oriola Vignobles of his/her intention to withdraw by e-mail to shop@jonqueresdoriola.fr . On receipt of a retraction authorization by e-mail, the Customer must follow the procedure indicated to return the Product to the address mentioned on the delivery note.

In order to exercise the right of retraction concerning the Products, the Customer must accept delivery of the Order, contact Jonquères d’Oriola Vignobles and follow the retraction process as defined in the present article.

Jonquères d’Oriola Vignobles draws the Customer’s attention to the fact that Products must be returned in perfect condition, in their original packaging, unopened and undamaged, together with the invoice or delivery note. Failing this, the Customer will lose his right of withdrawal and the Products will be returned to him at his expense.

The cost of returning Products is borne by the Customer. Jonquères d’Oriola Vignobles is in no way responsible for the delivery of returned Products. In the event of non-receipt of the parcel or in the event of refusal of acceptance of the parcel by Jonquères d’Oriola Vignobles for reasons relating in particular to the poor condition of the Products returned, the Customer must lodge a complaint with the carrier used of his own doing and use his insurance.

In accordance with the provisions of Article L 221-23 of the French Consumer Code, the Customer must return the Product(s) within fourteen (14) days of informing Jonquères d’Oriola Vignobles of his/her decision to withdraw.

10.3 Refunds

The return of all Products ordered will give rise to a refund equal to the total payment made by the Customer, i.e. the purchase price of the Products and delivery costs. In accordance with the provisions of Article L 221-24 of the French Consumer Code, Jonquères d’Oriola Vignobles undertakes to reimburse the Customer within a maximum period of fourteen (14) days from the date of collection of the Products by Jonquères d’Oriola Vignobles and using the same payment methods as those used by the Customer when placing the Order.

Article 11 – Legal warranties

11.1 Legal warranty of conformity

Jonquères d’Oriola Vignobles is liable for defects in the conformity of the Product under the conditions of Articles L217-4 et seq. of the French Consumer Code.

The Customer has a period of two (2) years from the date of delivery of the Product to invoke the legal warranty of conformity. Defects of conformity which appear within twenty-four (24) months of delivery of the Product are presumed to have existed at the time of delivery, unless proven otherwise. The Customer is therefore exempted from proving the lack of conformity, which is the responsibility of Jonquères d’Oriola Vignobles.

In the event of non-conformity, Jonquères d’Oriola Vignobles will offer the Customer the replacement of the Product(s) by one or more identical Product(s) or by one or more Product(s) of equivalent quality and price, while stocks last. Should it prove impossible to replace the Product(s), Jonquères d’Oriola Vignobles will reimburse the Customer for the defective Product(s) only.

11.2 Warranty against hidden defects

Jonquères d’Oriola Vignobles is bound by the legal warranty against hidden defects under the conditions set out in articles 1641 et seq. of the French Civil Code.

In the event of a hidden defect warranty, the customer has the choice of returning the item and having the price refunded, or keeping the item and having part of the price refunded.

11.3 Legal warranties

To invoke any of the legal warranties, the customer must make a written request to Customer Service using one of the following methods, at the customer’s discretion:

– by e-mail to the following address: shop@jonqueresdoriola.fr;

– by registered mail with acknowledgement of receipt to the Jonquères d’Oriola Vignobles head office 3 rue du Château- 66200 Corneilla del Vercol.

In all cases, the admissibility of the Customer’s request will be subject to the transmission of a copy of the invoice for the disputed Product, the transmission of all information relating to the Order, the precision of the batch number concerned appearing under the bottle, as well as a detailed explanation of the problem encountered.

It is specified that only cylinder(s) returns with a level higher than three quarters (3/4) of their initial filling level can be processed.

Customer Service will acknowledge receipt of the request and, if the request is accepted, will inform the Customer of the procedures for returning the Products. On receipt of the Product by Jonquères d’Oriola Vignobles, if the guarantee is validated and the Product is indeed defective, the Customer will be reimbursed for the cost of return at the latest within thirty days of receipt of the Product by Jonquères d’Oriola Vignobles on the basis of the invoiced rate and on presentation of supporting documents.

If the Product is found to be faultless, it will be made available to the Customer for a period of thirty (30) days after notification (by e-mail or telephone), and against payment of the cost of return. To this end, Jonquères d’Oriola Vignobles will notify the customer by e-mail. In the absence of a response from the customer within thirty (30) days following the first notification of the availability of the Product, Jonquères d’Oriola Vignobles reserves the right to destroy the Product concerned. No reimbursement or compensation may be claimed by the Customer in this case.

11.4 Warranty exclusions

The warranty does not cover :

– modified Products,

– Products not stored under normal conditions,

– Products subject to normal aging.

In this respect, the Customer’s attention is drawn to the fact that all Products have their own characteristics and that, depending on the type of Product chosen, the shelf life and the conditions of storage before tasting are essential elements which may influence the optimal conditions of tasting, without Jonquères d’Oriola Vignobles being able to be held responsible. It is therefore up to the Customer to be vigilant about the characteristics of the Product when placing the Order.

Article 12 – Customer service

For any request concerning the use of products or the implementation of legal warranties, the Customer may contact Customer Service by e-mail at shop@jonqueresdoriola.fr or free of charge by telephone on 04.68.22.73.22 from Monday to Friday, 8am to 12pm and 2pm to 5pm.

Article 13 – Force majeure

Jonquères d’Oriola Vignobles cannot be held responsible for the non-performance of its obligations or for any delay in the performance of its obligations where these are attributable to a case of force majeure, and in particular, without this list being exhaustive, in the following cases: fire, floods, total or partial strikes by postal services and/or carriers, wars, riots, attacks, epidemics/pandemics and quarantine, acts of God, shortages of raw materials, requisitions, blockage of means of transport or supply.

Article 14 – Responsibilities

The choice and purchase of a Product are the sole responsibility of the Customer. In this respect, it is the Customer’s responsibility to ensure that the choice of Products corresponds to their intended use.

Once again, it is specified that alcohol abuse is dangerous to health and that Jonquères d’Oriola Vignobles cannot be held responsible for any direct or indirect damage resulting from excessive consumption of the Products, and more generally, in disregard of health recommendations.

Article 15 – Website content

Jonquères d’Oriola Vignobles takes all necessary steps to ensure the reliability of the information presented on its website, particularly with regard to information concerning the availability of Products. However, despite daily monitoring and updating, technical inaccuracies, typographical errors or omissions cannot be ruled out. Jonquères d’Oriola Vignobles may not be held liable in any way whatsoever for such inaccuracies, except in the event of the exercise of the right of withdrawal or the implementation of the legal guarantee of conformity under the conditions set out in these General Terms and Conditions of Sale.

In any case, if a Customer notices this type of anomaly, he may inform Jonquères d’Oriola Vignobles by e-mail or via the contact form available on the Website. Jonquères d’Oriola Vignobles will then modify this information as soon as possible.

Article 16 – Modification of the General Terms and Conditions of Sale

Jonquères d’Oriola Vignobles reserves the right to adapt or modify these General Terms and Conditions of Sale at any time. In the event of modification, the General Terms and Conditions of Sale in force on the day of the Order will be applied to each Order.

Article 17 – Personal data

Jonquères d’Oriola Vignobles’ personal data protection policy aims to inform Customers of practices concerning the consent, collection, use, storage, security measures, retention period(s), recipient(s) and sharing of personal data that the Customer is required to provide when using the Website, and in particular when purchasing a Product on the Website.

The provisions concerning the protection of personal data as derived from the Loi Informatique et Libertés dated January 6, 1978 amended by the European Regulation (EU) 2016/679 of the European Parliament and of the Council of April 27, 2016 on the protection of individuals with regard to the processing of personal data and on the free movement of such data (“RGPD”) are available on the Website.

The Customer has the right to access, rectify and oppose any personal data concerning him/her. To do so, the customer must contact Jonquères d’Oriola Vignobles directly by e-mail at the following address: shop@jonqueresdoriola.fr . To enable Jonquères d’Oriola Vignobles to respond, each request must be accompanied by the information necessary to identify the sender: surname, first name, e-mail, postal address, telephone number.

Article 18 – Applicable law – Disputes

These French-language General Terms and Conditions of Sale will be executed and interpreted in accordance with French law, both with regard to substantive and formal rules.

In the event of a dispute, the customer should first contact Jonquères d’Oriola Vignobles for an amicable solution.
